Purpose and Validity<\/h2><p>These general terms and conditions govern the use\nof MGP Conseils&#8217; services. Any collaboration with MGP Conseils implies\nfull acceptance of these conditions. Service proposals are\nvalid for a period of thirty (30) days from their issue date.  <\/p><h2>2. Client Responsibilities<\/h2><p>The client undertakes to provide all necessary information,\nresources, and infrastructure for the execution of the requested services.\nAny delay in transmitting these elements could impact the completion\ndeadlines.<\/p><h2>3. Suspension and Termination<\/h2><p>MGP Conseils reserves the right to suspend or terminate\na service in the event of the client&#8217;s non-compliance with contractual obligations,\nparticularly in case of payment default. In such a case, ongoing work\nmay be interrupted and deliverables withheld until regularization. <\/p><h2>4. Travel Pricing<\/h2><p>Any travel exceeding 50 km will be billed at the current hourly\nrate in addition to other applicable fees.<\/p><h2>5. Accommodation during Travel<\/h2><p>When travel is required to visit the project\nsite or when requested by the client, MGP Conseils applies the current standards\nestablished by <b>Public Services and Procurement Canada<\/b>\nregarding <b>accommodation rate limits<\/b>.<\/p><ul>\n <li>Accommodation\n is billable for one (1) night per day of required on-site presence.<\/li>\n <li>Accommodation\n costs will be reimbursed or billed to the client based\n on the maximum rates established for the city or region concerned, according to the current <b>Accommodation\n Rate Limits<\/b>, available on the Government of\n Canada website.<\/li>\n <li>If\n no accommodation compliant with the reference rates is available, a\n justification will be provided to the client, and a reasonable alternative will be\n proposed.<\/li>\n <li>All\n accommodation-related expenses, including but not limited to parking\n fees, Wi-Fi, meals not included, or other related expenses,\n will be borne by the client.<\/li>\n<\/ul><p>MGP Conseils commits to optimizing costs by adhering to\nthese standards while ensuring the smooth execution of on-site services.<\/p><h2>6. Modification of Services<\/h2><p>Services are defined according to the needs expressed by the\nclient. Any modification requested during service delivery must be subject\nto a written agreement and may lead to adjustments in terms of deliverables,\ndeadlines, and costs. <\/p><h2>7. Offer Revision<\/h2><p>If elements not initially communicated significantly\nalter the nature of the services to be provided, MGP\nConseils reserves the right to revise or cancel the initial proposal.<\/p><h2>8. Extension and Renewal<\/h2><p>Any prolongation or extension of services requiring\nadditional resources must be approved in writing by both parties.<\/p><h2>9. Professional Execution<\/h2><p>MGP Conseils commits to providing services according to current\nprofessional standards. Opinions and recommendations are provided based on\nindustry best practices and engage only the professional\nresponsibility of the experts involved. <\/p><h2>10. Obligation of Means<\/h2><p>MGP Conseils is bound by an obligation of means and\nadvice, but does not guarantee specific results. The client must\nactively collaborate by providing the necessary information for the proper\nexecution of services. <\/p><h2>11. No Guarantee of Results<\/h2><p>No guarantee of performance, commercial success, or\noperational success is provided for the deliverables. Any subsequent adaptation or\nmodification required after delivery must be subject to a\nnew agreement. <\/p><h2>12. Intellectual Property and Patents<\/h2><p>MGP Conseils cannot be held responsible for any potential\nviolations of patents or intellectual property rights related to the\nservices rendered. It is the client&#8217;s responsibility to perform the necessary\nverifications. <\/p><h2>13. Transfer of Ownership<\/h2><p>Once services are completed and payments made,\nthe intellectual property of the deliverables is transferred to the client, including\nall data and analyses performed.<\/p><h2>14. Limitation of Liability<\/h2><p>MGP Conseils cannot be held responsible for loss of\nprofits, indirect damages, or harm suffered by the client resulting from\ndeliverables or delivery delays, except in cases of gross professional\nnegligence.<\/p><h2>15. Responsible Use of Deliverables<\/h2><p>The client undertakes to use the deliverables in a manner\nconsistent with the recommendations provided and not to alter their interpretation\nin a way that could harm the reputation of MGP Conseils or its\npartners.<\/p><h2>16. Delivery Deadlines<\/h2><p>Completion times are estimates and depend on\nvarious factors, including the availability of resources and suppliers.\nAny delay will be communicated to the client as far as possible.<\/p><h2>17. Hour Banks<\/h2><p>Purchased hour banks must be used within\nsix (6) months following the invoice date. Hours not\nused after this period will be forfeited and cannot be\ncarried over or refunded. <\/p><h2>18. Force Majeure<\/h2><p>MGP Conseils cannot be held responsible for delays or\ninability to perform due to events beyond its control,\nsuch as natural disasters, strikes, pandemics, or the\nunavailability of key personnel.<\/p><h2>19. Reuse of Know-how<\/h2><p>The know-how acquired by MGP Conseils in the context of its\nservices may be reused in other professional contexts, subject to\ncurrent confidentiality agreements.<\/p><h2>20. Acceptance of Deliverables<\/h2><p>Deliverables are considered accepted if no written\nobjection is received within fifteen (15) days following their delivery.\nAny request for clarification will be handled according to a schedule to be defined.<\/p><h2>21. Use of MGP Conseils&#8217; Name<\/h2><p>The client may not use the name, logo, or brand of\nMGP Conseils for promotional purposes without the prior written consent of MGP\nConseils. Any public mention must be submitted for approval. <\/p><h2>22. Validity of Clauses<\/h2><p>If any provision of these terms and conditions is\ndeclared invalid, the other provisions remain fully applicable.<\/p><h2>23. Entire Agreement<\/h2><p>These terms and conditions constitute the entire agreement between\nMGP Conseils and the client. Any modification must be made in writing and\napproved by both parties. <\/p><h2>24. Disputes and Jurisdiction<\/h2><p>Any dispute will be governed by the laws of the province of Quebec\nand submitted to the courts of the judicial district of Montreal.<\/p><h2>25. Right of Correction<\/h2><p>MGP Conseils reserves the right to correct any error or\nomission in these terms and conditions.<\/p><h2>26.
